3. User Eligibility and Responsibilities

Eligibility

• Possess all necessary licenses and permits for your business activities
• Comply with all applicable laws and regulations in your jurisdiction

User Responsibilities

• Comply with all import/export regulations and trade laws
• Pay all fees and charges in accordance with agreed terms
• Not engage in any fraudulent, illegal, or harmful activities
• Respect intellectual property rights of third parties

4. Orders and Contracts

Order Process

All orders are subject to acceptance by Veda Elite. We reserve the right to refuse or cancel orders at our discretion, particularly if we cannot verify customer information or if products are unavailable.

Pricing and Payment

• All prices are quoted in USD unless otherwise specified
• Prices are subject to change without notice
• Payment terms are typically 30-60 days from invoice date
• Late payment may incur additional charges
• We accept various payment methods including bank transfers and letters of credit

5. Shipping and Delivery

Delivery terms are specified in individual contracts. We work with reputable logistics partners but are not responsible for delays caused by customs, weather, or other factors beyond our control. Risk of loss transfers according to agreed Incoterms.

6. Quality and Warranties

We strive to provide high-quality products and services. However, warranties are provided by manufacturers and suppliers. We disclaim all warranties except as expressly stated in writing. Any quality issues must be reported within 30 days of delivery.

7. Limitation of Liability

To the maximum extent permitted by law, Veda Elite's liability is limited to the value of the specific transaction in question. We shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Delays or failures due to force majeure events
• Actions or omissions of third-party service providers

8. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of Veda Elite or our licensors and is protected by copyright and other intellectual property laws.

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of business. This obligation survives termination of the business relationship.

10. Dispute Resolution

Any disputes arising from these Terms or our business relationship shall be resolved through:

• First, good faith negotiations between the parties
• If unsuccessful, binding arbitration under the rules of the Dubai International Arbitration Centre (DIAC) for UAE-related matters
• For India-related matters, arbitration under the Arbitration and Conciliation Act, 2015

11. Governing Law

These Terms are governed by the laws of the United Arab Emirates for transactions involving our Dubai entity, and by the laws of India for transactions involving our Indian entity.

12. Termination

Either party may terminate the business relationship with written notice. Termination does not affect existing orders or obligations. Provisions regarding confidentiality, intellectual property, and dispute resolution survive termination.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to existing customers. Continued use of our services after changes constitutes acceptance of the new Terms.
